Terms of Service

These Terms of Service (“Terms”) are a binding agreement between you and BriefDesk App LLC, a Virginia limited liability company (“BriefDesk,” “we,” “us,” or “our”). By creating an account, purchasing a subscription, or using the Service, you agree to these Terms and our Privacy Policy.
1. Eligibility and accounts
You must be at least 18 years old and legally able to enter a contract to use BriefDesk. You must provide accurate account information, protect your credentials, and promptly notify us of suspected unauthorized access. You are responsible for activity through your account unless caused by our breach of these Terms.
2. The Service
BriefDesk is an academic organization and planning service for law students. Features may include course and schedule management, syllabus extraction, study planning, class notes, case-brief and outline tracking, AI-assisted processing, and optional Google and Stripe integrations. We may improve, add, remove, or discontinue features, provided we honor applicable subscription and consumer-law obligations.
3. Subscriptions, trials, and renewal
When you start a paid plan, the price, billing frequency, trial period (if any), renewal terms, and cancellation method are disclosed before you confirm checkout. Unless you cancel before the trial or current billing period ends, your subscription automatically renews and Stripe charges the payment method on file at the disclosed recurring price plus applicable taxes.
You authorize BriefDesk and Stripe to process recurring charges according to the checkout terms you accept. You can cancel online through Settings → Account → Manage subscription. Cancellation stops future renewals and does not delete your account. See the Refund & Cancellation Policy.
4. Your content and permissions
You retain ownership of content you submit or create. You grant BriefDesk a limited, non-exclusive license to host, copy, process, transmit, and display that content only as reasonably necessary to provide, secure, support, and improve the Service and to carry out actions you request. You represent that you have the rights needed to upload or process the content and that doing so does not violate law, school policy, or another person's rights.
5. AI features and academic responsibility
AI-generated extractions, transcriptions, plans, and suggestions may be incomplete or wrong. You must review dates, readings, quotations, case information, and other outputs against authoritative course materials. BriefDesk does not provide legal advice, academic advice, or a guarantee of grades, examination results, bar eligibility, or professional outcomes. You remain responsible for your work and compliance with your school's academic-integrity and technology policies.
6. Acceptable use
You may not:
- use the Service unlawfully, fraudulently, or to violate academic-integrity rules;
- upload malware, infringing material, or content you are not authorized to process;
- access or attempt to access another user's account, content, credentials, or non-public systems;
- probe, bypass, disable, or interfere with security, rate limits, authentication, or access controls;
- scrape, reverse engineer, resell, sublicense, or commercially exploit the Service except where applicable law expressly permits it; or
- use automated means in a manner that degrades the Service or imposes unreasonable load.
7. Third-party services
Google, OpenAI, Stripe, and other third-party services have their own terms and privacy practices. BriefDesk is not responsible for a third party's independent service, availability, or changes. You may disconnect optional integrations, but some connected features will no longer work.
8. BriefDesk intellectual property
The Service, software, design, documentation, and branding are owned by BriefDesk App LLC or its licensors and are protected by intellectual-property laws. BriefDesk® is a registered trademark of BriefDesk App LLC. These Terms give you a limited, revocable, non-transferable right to use the Service for your personal academic purposes; they do not transfer ownership. If you send feedback, you permit us to use it without restriction or compensation, without identifying you publicly.
9. Suspension and termination
You may stop using the Service, cancel a subscription, export data, or delete your account at any time. We may suspend or terminate access for a material breach, security threat, fraud, nonpayment, legal requirement, or risk to other users or the Service. Where practical, we will provide notice and an opportunity to cure. Provisions that by their nature should survive termination will survive.
10. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” BRIEFDESK DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE OR ANY AI OUTPUT WILL BE ERROR-FREE, UNINTERRUPTED, OR SUITABLE FOR A PARTICULAR COURSE, EXAM, OR PROFESSIONAL PURPOSE. NOTHING IN THESE TERMS EXCLUDES A WARRANTY OR RIGHT THAT CANNOT LAWFULLY BE EXCLUDED.
11. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, BRIEFDESK APP LLC AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST DATA, PROFITS, REVENUE, GOODWILL, OR ACADEMIC OPPORTUNITY. OUR AGGREGATE LIABILITY ARISING OUT OF THE SERVICE WILL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID BRIEFDESK DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. THESE LIMITS DO NOT APPLY WHERE PROHIBITED BY LAW OR TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED.
12. Indemnity
To the extent permitted by law, you agree to indemnify and hold BriefDesk App LLC harmless from third-party claims, damages, and reasonable costs arising from your unlawful use of the Service, content you submit without required rights, or your material breach of these Terms. This does not require you to indemnify BriefDesk for its own negligence or unlawful conduct.
13. Governing law and disputes
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-law rules. Unless applicable consumer law requires otherwise, disputes that cannot be resolved informally will be brought in a state or federal court with jurisdiction in Virginia, and each party consents to personal jurisdiction there. Before filing a claim, please contact us and allow 30 days for an informal resolution. Either party may seek urgent injunctive relief when appropriate.
14. Changes
We may update these Terms to reflect changes to the Service, law, or business practices. We will post the updated Terms and revise the date above. If a change materially reduces your rights, we will provide additional notice when required. Continued use after the effective date constitutes acceptance of the updated Terms.
15. General terms
These Terms, the Privacy Policy, the Refund & Cancellation Policy, and checkout disclosures are the entire agreement about the Service. If a provision is unenforceable, the remaining provisions remain effective and the provision will be enforced to the greatest lawful extent. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a reorganization, financing, merger, or sale of the Service. We are not liable for delay caused by events reasonably beyond our control.
